Industry Experience:
I am a federal tax attorney in private practice, and so have worked with a variety of industries with regard to federal tax planning issues, IRS audit issues, and state and local tax issues in addition to general corporate business matters. I have also handled tax controversy work for a wide variety of business entities including domestic corporations with international tax issues. I am the Chair of the Audit Committee for a Continuing Care Retirement Community with five campuses, a combined budget of approximately $150 million, and assets of approximately $550 million.
Functional Experience:
Currently, I am outside legal counsel for a multi-million dollar online health supplement company that has international subsidiaries and interests in a variety of domestic and international scientific research laboratories. I was instrumental in reorganizing this corporate structure to enable risk-shifting for purposes of captive insurance and federal tax planning.
Key Business Transactional Experience:
I was on a team of professionals orchestrating the merger of a major hospital system and a local hospital.. My specific task was to create and begin the operations of two private foundations that were essential to the negotiations and to the merger. These two foundations were created to preserve the charitable healthcare activities of the hospital in its local area.
What is the most important skill you bring to a corporate board?
The most important skill that I bring to a board of directors is my attention to tax and accounting details that others may not appreciate. Also, my experience as Chair of an Audit Committee for a large consolidated group of corporations has utilized my talents to effectively analyze the financials and general ledger of a large corporate taxpayer. My background also enables me to review the work of outside accountants to ensure that their work product is accurate when filing consolidated returns, Forms 1120, and any variety of federal tax schedules and forms. As a board member, I am able to assist with oversight of the accounting and legal work that is done on behalf of the corporation, to ensure that there are no irregularities or unexpected issues that may arise.
